These Terms and Conditions (“Terms”) govern your access to and use of the ht-vet.com website (“Website”) and any related products, content, and services (collectively, the “Services”) operated by HT VET LTD (doing business as “HT Vista”, “HT Vet”, “we”, “us”, or “our”).

By accessing or using the Website and Services, you (“you”, “your”, or “User”) agree to be bound by these Terms. If you do not agree, you must not access or use the Website or Services.

These Terms are separate from any commercial purchase agreement, software license, or subscription agreement governing the use of HT Vista or VISTA iQ products. Use of those products is governed by the respective agreement signed at the time of purchase.

1. Eligibility

You must be at least 18 years of age to access or use the Website and Services. By using the Website, you represent and warrant that you are of legal age to form a binding contract and that all information you provide is accurate and truthful.

If you are accessing the Website on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case “you” or “your” refers to such entity.

The Website is intended primarily for veterinary professionals, veterinary practice owners and managers, distributors, and related industry stakeholders. We may, at our sole discretion, restrict or modify access for users who do not meet this audience.

2. Acceptance of these Terms

By accessing or using the Website, you acknowledge that you have read, understood, and agreed to these Terms, as well as our Privacy Policy, which is incorporated by reference. If you do not agree to either, you must immediately cease using the Website and Services.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for lawful, personal, or business purposes consistent with these Terms.

Information about HT Vista, VISTA iQ, and other HT Vet products on the Website is provided for general informational and marketing purposes only. While we strive for accuracy, we make no warranty that product specifications, features, pricing, availability, or clinical claims described on the Website are complete, current, or error-free.

Veterinary use only. HT Vet products are intended exclusively for use by licensed veterinary professionals on animal patients. Nothing on this Website constitutes medical advice for human patients or veterinary advice for any specific animal. Veterinary professionals should rely on their own clinical judgment and the official product documentation, training, and support provided with the product, not on Website content.

Product capabilities, regulatory clearances, and availability vary by jurisdiction. Some products or features described on the Website may not be available in your country or region.

8. Email communications

By providing your email address, you consent to receive email communications from us related to your inquiry, our products, and our services. You may opt out of marketing emails at any time by following the unsubscribe instructions included in each marketing message or by contacting us. We will continue to send transactional emails (e.g., responses to specific inquiries) where permitted by law.

9. SMS / text message service terms

By providing your mobile telephone number and affirmatively opting in to receive SMS or MMS communications from HT Vet, you expressly consent to receive text messages from HT Vet at the number provided. Messages may include customer care communications, responses to inquiries, demo scheduling, appointment confirmations and reminders, educational information, product information, and marketing or promotional communications where applicable.

Consent to receive marketing text messages is not a condition of purchasing any product or service from HT Vet.

Frequency: Message frequency varies based on your interactions with us, but typically does not exceed 4–8 messages per month per contact.

Carrier participation: SMS service is available on most major U.S. carriers including AT&T, Verizon Wireless, T-Mobile, and others. Carriers are not liable for delayed or undelivered messages. T-Mobile is not liable for delayed or undelivered messages.

Costs: Message and data rates may apply, set by your mobile carrier. We do not charge to receive SMS messages.

Opt-out: Reply STOP to any message at any time to unsubscribe. After replying STOP, you will receive one confirmation message and no further text messages from HT Vet. You can re-subscribe by replying START or UNSTOP.

Eligibility: SMS service is intended for users 18 years and older located in the United States, Canada, and Puerto Rico. By opting in, you confirm you are the account holder of the mobile number provided or have authority to act on behalf of the account holder.

Privacy: Your participation in this SMS program is governed by our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

Modification or termination: We reserve the right to modify or discontinue the SMS service at any time without notice.

10. Account suspension and termination

We may suspend or terminate your access to the Website at any time, with or without notice, for any reason — including any violation of these Terms.

You may stop using the Website at any time. Upon termination, your right to access and use the Website ends, but provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will remain in effect.

11. Disclaimer of warranties

THE WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Website will be uninterrupted, error-free, free of viruses or other harmful components, or that defects will be corrected. You use the Website at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HT VET LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE WEBSITE OR SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100), OR THE EQUIVALENT IN YOUR LOCAL CURRENCY.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or your use of the Website will be brought exclusively in the competent courts located in Tel Aviv, Israel, and you consent to the personal jurisdiction of such courts.

If you are a resident of the United States or another jurisdiction with consumer protection laws that grant you rights inconsistent with this section, those rights are preserved to the extent required by applicable law.

15. Changes to these Terms

We reserve the right to modify these Terms at any time. When we do, we will revise the “last updated” date at the bottom of this page. Material changes will be communicated via the Website or, where appropriate, by email or other contact information you have provided. Your continued use of the Website after such changes constitutes your acceptance of the revised Terms.

16. Severability and entire agreement

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and HT VET LTD regarding the Website and Services.
